Legal Counsel (Corporate) - Beutel Goodman

The Opportunity:
Beutel Goodman is seeking an experienced corporate lawyer to join its fantastic team in Toronto (office is at Yonge and Eglinton). Reporting to the General Counsel & Chief Compliance Officer, the Legal Counsel will play a key role on the development and maintenance of all legal and compliance aspects of the business. Responsibilities:
  • Work closely with various business teams and stakeholders including Finance & Administration, Portfolio Managers, Trading, Information Technology, and HR
  • Review and draft all relevant legal documentation including investment management agreements, IT agreements, and employment agreements
  • Review and interpret all relevant regulatory developments
  • Provide relevant legal research and advice to various business teams
  • Work on environmental, social, and governance (“ESG”) related matters
  • Assist in developing and maintaining compliance policies and procedures
  • Review and monitor internal compliance with regulatory requirements and internal policies
  • Administer personal trading and code of ethics compliance programs, including compliance training
  • Oversee registration and other regulatory filings and audits
  • Report to management committee on legal and compliance issues
  • Maintain industry relationships and keep up to date on evolving compliance and legal requirements

Requirements:
  • Licensed to practice law in Ontario.
  • Minimum of 5 years’ relevant legal experience in a law firm and/or in-house environment in corporate law, securities law, M&A, and/or financial services
  • Experience working in a regulated industry such as asset management and financial services considered an asset
  • Experience in ESG and privacy considered an asset
  • Strong negotiation, drafting skills and business acumen
  • Ability to understand, interpret and explain contractual terms, legal principles and relevant risks
  • Strong analytical, research and writing skills
  • Ability to work independently, prioritize, and meet timelines
  • Flexible, adaptable, and client service oriented
  • Strong work ethic and diligence with handling confidential information
  • Self-motivated team player with positive attitude
